Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ElinPulse Solutions LLC ("ElinPulse," "we," "us," or "our"), governing your access to and use of the ElinPulse mobile application and any related services (collectively, the "Platform").

By downloading, installing, or using the Platform, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Platform.

Information presented on the Platform — including cardiovascular risk scores, reference ranges, trend visualizations, and report content — is provided for informational and organizational purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment.

You should always seek the advice of a qualified physician or other licensed healthcare provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking it because of something you have read on or generated through the Platform.

If you believe you are experiencing a medical emergency, call 911 or your local emergency services immediately.

The ElinPulse Platform provides the following features to users:

• Manual and device-synced logging of cardiovascular health data
• Visualization of health trends including blood pressure, heart rate, ApoB and lipid panel values, sleep, HRV, exercise, and symptom logs
• Calculated health metrics including estimated 10-year ASCVD risk scores, based on data you provide
• Medication tracking and adherence logging (Med-Sync)
• Generation of user-controlled PDF reports summarizing entered data
• Integration with third-party wearable platforms (Apple HealthKit, Garmin, Fitbit, Oura) with your authorization

All risk calculations, reference ranges, and clinical metrics displayed on the Platform are derived from publicly available algorithms and reference guidelines (such as the ACC/AHA Pooled Cohort Equations for ASCVD risk). They reflect calculations based on data you have provided and carry inherent limitations. ElinPulse makes no representations about the accuracy, completeness, or clinical applicability of any such calculation for your individual clinical situation.

By using the Platform, you agree to:

• Provide accurate, complete, and current information when creating your account and entering health data
• Maintain the confidentiality of your account credentials and notify us promptly of any unauthorized access
• Use the Platform solely for your own personal, non-commercial health tracking purposes, unless you have entered into a separate written agreement with ElinPulse
• Not use the Platform in any manner that could harm, disable, overburden, or impair our systems
• Not attempt to reverse engineer, decompile, or extract the source code of the Platform
• Not use the Platform to store or transmit content that is unlawful, harmful, defamatory, or infringes the rights of any third party
• Not misrepresent your identity or impersonate any person or entity

You are solely responsible for the accuracy of the data you enter into the Platform and for any decisions you make based on information displayed by the Platform.

You may create an account by completing the registration process within the app. You must provide a valid email address and may be required to verify your identity. One account per person is permitted.

You may terminate your account at any time by contacting us at support@elinpulse.com or using the account deletion feature within the Platform. Upon termination, your data will be deleted in accordance with our Privacy Policy.

ElinPulse reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms, applicable law, or is harmful to other users, third parties, or our business interests.

ElinPulse offers a free tier and paid subscription plans (Core and Clinical). Paid plans are billed on a monthly or annual basis, as selected at the time of purchase.

• All payments are processed through the Apple App Store or Google Play Store in accordance with their respective billing terms
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
• You may manage or cancel your subscription through your App Store or Google Play account settings
• No refunds are provided for partial subscription periods, except where required by applicable law
• ElinPulse reserves the right to modify subscription pricing with reasonable notice; continued use after a price change constitutes acceptance of the new price

The ElinPulse Platform, including its design, software, algorithms, graphics, and content (collectively, "IP"), is owned by ElinPulse Solutions LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in our IP.

Subject to your compliance with these Terms, ElinPulse grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform on your personal device(s) for personal, non-commercial purposes.

You retain ownership of any health data you enter into the Platform. By entering data, you grant ElinPulse a limited license to store and process that data solely to provide the services described in these Terms and our Privacy Policy.

The Platform may integrate with third-party services, including Apple HealthKit, Garmin Connect, Fitbit, and Oura. Your use of these integrations is subject to the terms and privacy policies of the respective third parties. ElinPulse is not responsible for the practices of any third-party service.

The Platform may contain links to third-party websites or services. These links are provided for your convenience only. ElinPulse does not endorse, control, or assume any responsibility for the content or practices of any third-party site or service.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

ELINPULSE SOLUTIONS LLC DOES NOT WARRANT THAT:

• The Platform will be uninterrupted, error-free, or secure
• Any health metrics, risk scores, or data visualizations will be accurate, complete, or clinically appropriate for your individual situation
• The Platform will meet your specific health monitoring or clinical needs
• Any defects or errors in the Platform will be corrected

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELINPULSE SOLUTIONS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL ELINPULSE SOLUTIONS LLC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ELINPULSE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY UNDER WHICH DAMAGES ARE SOUGHT. SOME JURISDICTIONS DO NOT PERMIT CERTAIN LIABILITY LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless ElinPulse Solutions LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of or inability to use the Platform
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Any data you submit to the Platform

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall first be submitted to informal negotiation. If not resolved within 30 days, disputes shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA) in New York, New York, unless you opt out of arbitration by notifying us in writing within 30 days of first agreeing to these Terms.

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action. You waive the right to participate in class arbitrations or class action lawsuits relating to the Platform.

ElinPulse reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date, posting a notice within the Platform, or sending an email notification. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Platform and may delete your account.

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ElinPulse Solutions LLC regarding the Platform and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
• Waiver: ElinPulse's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. ElinPulse may freely assign these Terms.
